Cookie Pay Terms of Service

Cookie Pay ("we," "us," "our") operates a decentralized, non-custodial payment processor ("Service") that enables merchants to accept wallet-to-wallet payments. By accessing or using the Cookie Pay Service, you ("User" or "Merchant") agree to abide by these Terms of Service ("Terms"). If you do not agree with these Terms, do not use the Service.
1. Overview of the Service
Cookie Pay allows merchants to receive payments directly to their wallet addresses, with a 2% transaction fee automatically deducted from each payment. This Service is non-custodial, meaning that at no point do we hold, manage, or control any funds. Transactions are processed via smart contracts on the blockchain, ensuring transparency and security.
1.1 Non-Custodial Service
Cookie Pay facilitates wallet-to-wallet payments. We do not handle or store user funds at any point in the process. All transactions are processed directly between the sender’s and recipient’s wallets. We simply deduct a transaction fee as one contract and create a contract for the remaining funds to go straight to the designated recipient wallet.
1.2 No Personal Data Collection
We do not collect, store, or process any personal information from users or merchants. All payment transactions are executed using wallet addresses, and no identifiable personal data is collected or retained during the transaction process. Only transaction data such as wallet addresses, transaction amounts, and timestamps are publicly recorded on the blockchain.
2. Fees and Payments
2.1 Transaction Fees
Each successful transaction processed via Cookie Pay incurs a 2% fee. This fee is automatically deducted from the transaction amount and transferred to Cookie Pay's wallet address. The remaining balance is sent directly to the recipient’s wallet.
For example:
- If a user makes a payment of 200 COOKIE tokens, 196 COOKIE tokens will be sent to the merchant’s wallet, and 4 COOKIE tokens will be sent to Cookie Pay’s wallet.
2.2 Transaction Confirmation
Once a transaction is initiated, it is confirmed on the blockchain and is irreversible. No refunds, reversals, or chargebacks are supported through Cookie Pay. Merchants are responsible for handling refunds or issues with the goods or services they provide.
3. Merchant Responsibilities
Merchants are responsible for:
- Correctly integrating Cookie Pay’s payment code into their websites or platforms.
- Ensuring that the correct wallet address is provided for receiving payments.
- Managing any disputes related to the goods or services provided, as Cookie Pay is not involved in product delivery or fulfillment.
Merchants must not engage in any activity that violates applicable laws or regulations, including fraud or money laundering. You must comply with all UK laws governing financial transactions and business operations.
4. Prohibited Uses
You agree not to use Cookie Pay for any illegal or unlawful activity. Specifically, you may not use the Service to:
- Facilitate the sale of illegal goods or services.
- Engage in money laundering, fraud, or any other financial crime.
- Engage in activities that violate intellectual property rights, including distributing pirated content.
- Attempt to manipulate or exploit the platform for unlawful purposes.
Violation of these terms may result in immediate suspension or termination of your access to Cookie Pay.
5. Limitation of Liability
Cookie Pay is not liable for:
- Delays in transaction processing due to blockchain network congestion or other technical issues.
- Disputes between merchants and customers regarding the products or services provided.
- Any losses during transactions such as incorrect wallet addresses or failed transactions caused by errors in user inputs.
- We are not liable for the fees taken by us or the network during a transaction.
6. Intellectual Property
All intellectual property rights in the Cookie Pay Service, including the website, logos, and other materials, are owned by Cookie Pay or its licensors. You may not use any intellectual property belonging to Cookie Pay without our prior written consent.
7. Termination and Suspension
We reserve the right to suspend or terminate your access to Cookie Pay if:
- You breach these Terms.
- We detect fraudulent activity or misuse of the platform.
- We are required to do so by law or regulatory authorities.
Upon termination of your access, you must cease using the Service immediately.
8. Data Protection and Privacy
While Cookie Pay does not collect personal data from users, we may store and process data necessary for the operation of the Service (such as wallet addresses, transaction amounts, and timestamps). This data is processed in accordance with the Data Protection Act 2018 (which implements the EU General Data Protection Regulation - GDPR) and any relevant UK data protection laws.
You acknowledge that all transaction data, including wallet addresses, is publicly available on the blockchain.
9. Indemnification
You agree to indemnify, defend, and hold harmless Cookie Pay, its affiliates, employees, and partners from any claims, damages, liabilities, or expenses (including legal fees) arising out of your use of the Service or violation of these Terms.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
In the event of a dispute, you agree to attempt to resolve the issue through informal negotiation before seeking legal recourse.
11. Amendments to These Terms
We reserve the right to update or modify these Terms at any time. Any changes will be posted on this page with an updated "Effective Date." You are responsible for reviewing these Terms regularly to stay informed of any changes.
